1. LEGALLY BINDING AGREEMENT

These Terms of Service (“Terms” or “Agreement“) constitute a legally binding contract between RootHosts (“RootHosts,” “we,” “our,” or “us“) and every individual, business entity, organization, governmental body, or other legal person (collectively, the “Customer,” “Client,” or “User“) who accesses, purchases, subscribes to, or otherwise uses any service, platform, application, website, infrastructure, or technology solution made available by RootHosts.

These Terms govern the access to and use of all products and services provided under the RootHosts brand, whether delivered directly or through affiliated infrastructure, including, without limitation:

• Shared Hosting Services;
• Dedicated Server Solutions;
• Virtual Private Server (VPS) Services;
• Cloud Infrastructure Services;
• Managed VPS Solutions;
• Linux Server Administration;
• Windows Server Administration;
• System Administration Services;
• Network Security Services;
• Distributed Denial-of-Service (DDoS) Protection Services;
• Virtual Private Network (VPN) Services;
• Managed Proxmox VE Cloud Infrastructure;
• Backup and Disaster Recovery Support;
• Infrastructure Monitoring Services;
• Professional Technical Consulting;
• Managed IT Services; and
• Any additional products, software, infrastructure, applications, platforms, technologies, or professional services offered by RootHosts from time to time.

By creating an account, submitting an order, accessing, purchasing, renewing, or otherwise using any RootHosts Service, you expressly acknowledge that you have carefully read, understood, and agreed to be legally bound by these Terms, together with all policies, guidelines, schedules, and documents incorporated herein by reference.

If you do not accept these Terms in their entirety, you are not authorized to access or use any RootHosts Service.

 

2. DEFINITIONS

For the purposes of this Agreement, the following definitions shall apply:

“Services” means all hosting, cloud computing, virtualization, infrastructure, networking, cybersecurity, consulting, managed services, software, platforms, applications, and related professional services provided by RootHosts.

“Customer Data” means any data, files, databases, applications, software, configurations, content, communications, or other electronic information uploaded, transmitted, stored, processed, or otherwise made available by the Customer through the Services.

“Infrastructure” means all physical servers, virtual machines, storage systems, networking equipment, cloud resources, virtualization platforms, monitoring systems, backup systems, security technologies, and related facilities utilized in the provision of the Services.

“Business Day” means any day excluding Saturdays, Sundays, and official public holidays within the applicable jurisdiction.

 

3. ELIGIBILITY AND AUTHORITY

By using the Services, the Customer represents, warrants, and undertakes that:

• they possess the full legal capacity, authority, and competence to enter into this Agreement;
• all information supplied to RootHosts is accurate, complete, and current;
• they shall promptly update any information that becomes inaccurate or incomplete;
• they shall use the Services solely in accordance with applicable laws, regulations, and industry standards;
• they possess all necessary rights, licenses, permissions, and authorizations relating to any Customer Data or activities conducted through the Services.

Where the Services are obtained on behalf of a legal entity, the individual accepting these Terms represents and warrants that they possess full authority to legally bind that entity.

 

4. SCOPE OF SERVICES

RootHosts provides enterprise-grade information technology infrastructure and managed technology solutions designed to support individuals, businesses, organizations, and commercial enterprises.

The Services may include the design, deployment, provisioning, administration, maintenance, monitoring, protection, optimization, support, migration, and management of hosting environments, cloud infrastructure, virtualization platforms, operating systems, networking environments, cybersecurity solutions, backup systems, and related technology resources.

Nothing contained within these Terms shall be construed as creating any obligation upon RootHosts to provide services beyond those expressly agreed in an applicable Order, Service Description, Statement of Work, or other written agreement.

RootHosts reserves the unrestricted right, at its sole discretion and where reasonably necessary, to modify, enhance, replace, discontinue, suspend, or otherwise alter any aspect of the Services in order to maintain operational integrity, improve security, comply with applicable legal obligations, implement technological advancements, or protect the stability of its infrastructure.

 

5. CUSTOMER OBLIGATIONS

The Customer shall at all times:

• comply with these Terms and all incorporated policies;
• maintain accurate account information;
• implement appropriate administrative and technical security measures within their own systems;
• maintain independent backups of critical business information;
• promptly cooperate with RootHosts during security investigations or operational incidents;
• refrain from any conduct that may compromise the integrity, availability, confidentiality, or security of the Services or Infrastructure.

The Customer accepts full legal responsibility for all activities performed through its account, whether authorized by the Customer or resulting from the Customer’s failure to adequately safeguard authentication credentials.

 

6. SERVICE STANDARD

RootHosts shall exercise commercially reasonable skill, care, diligence, and professional judgment in delivering the Services in accordance with recognized industry practices.

While RootHosts is committed to maintaining reliable, secure, and professionally managed infrastructure, the Customer acknowledges that no hosting provider, cloud platform, telecommunications network, or internet-based service can guarantee uninterrupted availability, absolute security, or error-free operation.

Accordingly, RootHosts does not warrant that the Services will be continuous, uninterrupted, or entirely free from delays, failures, vulnerabilities, or third-party disruptions.

 

7. ACCOUNT REGISTRATION AND SECURITY

Access to certain Services requires the creation and maintenance of a Customer account. The Customer shall ensure that all registration information submitted to RootHosts is accurate, complete, current, and not misleading.

The Customer is solely responsible for maintaining the confidentiality of all authentication credentials, including usernames, passwords, API keys, SSH keys, access tokens, and any other security credentials associated with the Services.

The Customer shall immediately notify RootHosts of any actual or suspected unauthorized access, compromise, misuse, or security incident affecting its account or hosted environment.

RootHosts shall not be liable for any loss, damage, unauthorized activity, or security incident arising from the Customer’s failure to maintain appropriate account security.

 

8. ORDERS, PROVISIONING, AND ACCEPTANCE

All orders submitted to RootHosts constitute an offer to purchase the requested Services and shall become legally binding only upon acceptance by RootHosts.

Service provisioning remains subject to:

• successful payment verification;
• identity and fraud verification where applicable;
• infrastructure availability;
• technical feasibility;
• compliance with applicable laws; and
• internal security assessments.

RootHosts reserves the absolute right to reject, delay, suspend, modify, or cancel any order where reasonably necessary to protect its infrastructure, customers, business operations, or legal interests.

Estimated provisioning times are provided solely for convenience and shall not constitute a contractual guarantee.

 

9. FEES, BILLING, AND PAYMENT

The Customer agrees to pay all fees, charges, taxes, and other amounts applicable to the Services in accordance with the pricing published or otherwise agreed in writing.

Unless expressly agreed otherwise:

• all fees are payable in advance;
• recurring Services renew automatically until cancelled;
• invoices shall become due on the date specified therein;
• failure to make timely payment may result in suspension or termination of Services without prejudice to any other legal remedy available to RootHosts.

RootHosts reserves the right to revise its pricing, billing structure, or payment methods at any time upon reasonable prior notice.

Late payments may incur interest, administrative charges, collection costs, or legal expenses to the maximum extent permitted by applicable law.

 

10. SERVICE AVAILABILITY

RootHosts shall use commercially reasonable efforts to maintain reliable and professionally managed infrastructure.

Notwithstanding the foregoing, the Customer acknowledges that temporary interruptions may occur due to circumstances including, without limitation:

• scheduled maintenance;
• emergency maintenance;
• software updates;
• hardware replacement;
• network congestion;
• upstream provider failures;
• cybersecurity incidents;
• force majeure events; or
• circumstances beyond the reasonable control of RootHosts.

Service availability commitments, where applicable, shall be governed exclusively by the applicable Service Level Agreement (“SLA”).

 

11. CUSTOMER DATA

The Customer retains all ownership rights in and to Customer Data.

RootHosts acquires no ownership interest in Customer Data and shall process or access such data only to the extent reasonably necessary to:

• provide the Services;
• maintain infrastructure;
• investigate security incidents;
• comply with legal obligations;
• protect the integrity and security of its systems; or
• enforce its contractual rights.

The Customer represents and warrants that it possesses all rights, licenses, permissions, and legal authority necessary for Customer Data to be stored, processed, transmitted, and otherwise handled through the Services.

 

12. DATA BACKUP AND RECOVERY

Unless expressly included within a purchased Service, RootHosts does not undertake any obligation to maintain backups of Customer Data.

Any backup functionality provided by RootHosts is intended solely as an operational convenience and shall not relieve the Customer of its independent obligation to maintain appropriate backup and disaster recovery procedures.

RootHosts does not warrant that backup copies will be complete, uninterrupted, error-free, or capable of restoring all Customer Data.

 

13. INTELLECTUAL PROPERTY RIGHTS

All copyrights, trademarks, service marks, logos, software, source code, object code, documentation, technical information, databases, designs, trade secrets, proprietary technology, methodologies, business processes, and all other intellectual property rights relating to the Services shall remain the exclusive property of RootHosts or its licensors.

Except as expressly permitted under this Agreement, no license, assignment, transfer, or other proprietary right is granted to the Customer.

The Customer shall not copy, modify, distribute, reverse engineer, decompile, disassemble, reproduce, sublicense, exploit, or otherwise use any RootHosts intellectual property except where expressly authorized in writing.

 

14. SUSPENSION OF SERVICES

RootHosts may suspend, restrict, quarantine, or disable access to any Service immediately and without prior notice where it reasonably determines that such action is necessary to:

• protect the security or stability of its infrastructure;
• prevent unlawful activity;
• mitigate cybersecurity threats;
• investigate suspected violations of these Terms;
• comply with legal or regulatory requirements;
• protect customers or third parties from harm; or
• prevent material damage to the Services.

Such suspension shall not relieve the Customer of its payment obligations.

 

15. TERMINATION

RootHosts may terminate this Agreement, in whole or in part, immediately upon written notice where:

• the Customer materially breaches these Terms;
• payment obligations remain outstanding;
• fraudulent, unlawful, abusive, or deceptive conduct is identified;
• continued provision of the Services presents unacceptable operational, legal, or security risks; or
• termination is required by applicable law or governmental authority.

Upon termination, all rights granted under this Agreement shall immediately cease.

RootHosts may remove, delete, or permanently erase Customer Data following termination in accordance with its data retention policies and applicable law.

 

16. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, the Services are provided on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis.

RootHosts expressly disclaims all representations, warranties, guarantees, and conditions, whether express, implied, statutory, or otherwise, including, without limitation, any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, non-infringement, continuous availability, uninterrupted operation, compatibility, accuracy, or security.

No oral or written advice, recommendation, or information provided by RootHosts shall create any warranty unless expressly incorporated into a written agreement executed by an authorized representative of RootHosts.

 

17. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, RootHosts, its owners, affiliates, contractors, employees, representatives, licensors, suppliers, and infrastructure providers shall not be liable for any indirect, incidental, consequential, exemplary, punitive, special, or economic damages whatsoever, including any loss of profits, revenue, goodwill, anticipated savings, contracts, business opportunities, reputation, or data, whether arising in contract, tort (including negligence), statutory duty, or otherwise.

Without limiting the foregoing, RootHosts shall not be liable for any loss resulting from:

• internet or telecommunications failures;
• third-party infrastructure outages;
• cyberattacks;
• distributed denial-of-service attacks;
• hardware failures;
• software defects;
• data corruption;
• unauthorized access;
• force majeure events; or
• acts or omissions of third parties.

To the fullest extent permitted by law, RootHosts’ aggregate liability arising out of or relating to the Services shall not exceed the total fees actually paid by the Customer for the affected Service during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit liability that cannot lawfully be excluded under applicable law.

 

18. INDEMNIFICATION

The Customer shall defend, indemnify, and hold harmless RootHosts, its owners, affiliates, officers, employees, contractors, licensors, infrastructure providers, successors, and assigns from and against any and all claims, proceedings, liabilities, damages, judgments, penalties, losses, costs, expenses, and reasonable legal fees arising directly or indirectly from:

• the Customer’s breach of this Agreement;
• Customer Data;
• misuse of the Services;
• violation of applicable laws;
• infringement of third-party intellectual property rights; or
• negligent, fraudulent, or unlawful conduct of the Customer.

 

19. FORCE MAJEURE

RootHosts shall not be responsible for any delay, interruption, degradation, or failure in performance resulting from events beyond its reasonable control, including natural disasters, armed conflict, terrorism, civil unrest, governmental actions, labour disputes, pandemics, utility failures, internet outages, cyber incidents, failures of telecommunications providers, or failures affecting third-party infrastructure.

 

20. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the applicable laws of the European Union and the mandatory laws of the competent jurisdiction in which RootHosts lawfully operates.

The parties shall first attempt in good faith to resolve any dispute through amicable negotiations.

Where a dispute cannot be resolved through negotiation, it shall be submitted to the courts of competent jurisdiction, unless mandatory consumer protection legislation provides otherwise.

 

21. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Acceptable Use Policy, Service Level Agreement, Refund & Cancellation Policy, Billing & Payment Policy, applicable Order Forms, Statements of Work, and any documents expressly incorporated by reference, constitute the entire agreement between the parties and supersede all prior discussions, negotiations, understandings, representations, and agreements relating to the Services.

 

22. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or competent authority, the remaining provisions shall remain valid, enforceable, and in full force and effect.

 

23. NO WAIVER

No failure or delay by RootHosts in exercising any right or remedy under this Agreement shall constitute a waiver of that right or any other right.
